How to Form a US LLC from India (Complete 2026 Guide)

You don't need a US visa, a US address, or a flight to America to own a US company. Here's exactly how Indian founders form a US LLC from home in 2026 — step by step.

More Indian freelancers, agency owners, and SaaS founders are forming US LLCs than ever before. The reasons are simple: it makes you eligible for Stripe and PayPal in full, it adds instant credibility with US clients, and it lets you build a business structure that's recognized and trusted worldwide.

The confusing part isn't whether you can do it — you can. It's knowing which state to pick, what a registered agent actually does, and which compliance steps are mandatory versus optional. This guide walks through the entire process the way we do it for founders at Nexton Incorp.

Step 1: Choose Your State

You don't need to live in — or even visit — the state where your LLC is formed. Two states dominate for non-resident founders:

Wyoming — Best for Most Founders

No state income tax, low annual report fees, and strong privacy protections since member names aren't made public. This is what we recommend for freelancers, agencies, and e-commerce sellers with no plans to raise outside investment.

Delaware — Best for Startups Raising Capital

Delaware's well-established business court system (Court of Chancery) makes it the default choice for startups that intend to raise venture funding or convert to a C-Corp later.

Step 2: Appoint a Registered Agent

Every US LLC is legally required to have a registered agent — a person or company with a physical address in the formation state who can receive legal and state documents on your behalf. Since you're based in India, you'll use a commercial registered agent service. This is included automatically in most formation packages, including ours.

Step 3: File the Articles of Organization

This is the document that legally creates your LLC, filed with the Secretary of State. It lists your LLC's name, registered agent, and management structure. State filing fees range from roughly $50 (Wyoming) to $90-$300 depending on the state. Processing typically takes anywhere from a few hours to a few weeks depending on the state's backlog.

Step 4: Get Your EIN from the IRS

Your Employer Identification Number (EIN) is your LLC's tax ID — you'll need it to open a US bank account, activate Stripe or PayPal, and file taxes. Since you don't have a US Social Security Number, you can't apply online through the IRS website; the application has to be submitted by fax or mail, or handled by a formation service on your behalf.

Without expert handling, this step alone commonly takes 6-8 weeks. It's the single biggest bottleneck non-resident founders run into.

Step 5: Open a US Business Bank Account

Once you have your EIN, you can open a US business bank account fully online through providers like Wise, Mercury, or Relay — no US travel required. We cover which banks approve non-resident Indians and how to avoid rejection in our dedicated bank account guide.

Step 6: Stay Compliant

Forming the LLC is the easy part. Staying compliant is what actually protects it:

  • BOI Report — mandatory under the Corporate Transparency Act; missing it risks penalties of $500/day
  • Annual Report — filed yearly with your state to keep the LLC in good standing
  • Form 5472 + Pro Forma 1120 — required annually for foreign-owned single-member LLCs, even with zero US activity
  • FEMA / ODI compliance — required in India when you remit profits from your US LLC back home

What It Actually Costs in 2026

  • State filing fee: $50-$300 (one time)
  • Registered agent: $99-$150/year
  • EIN processing: $99-$150 (one time, if using a service)
  • BOI report filing: ~$149 (one time)
  • Annual report: ~$100 + state fee (recurring)

Most founders land between $250-$600 for the first year, all in, when bundled through a formation service.

Common Mistakes We See

  • Choosing a state based on popularity instead of your actual business needs
  • Forgetting the BOI report entirely — it's new and often missed
  • Assuming no US tax filing is required because there's no US income tax owed
  • Skipping FEMA/ODI compliance when moving money back to India
  • Using a registered agent address as a "business address" on bank applications
