How to Form a UK LTD Company from India (Complete 2026 Guide)

A UK LTD carries a level of trust that's hard to replicate — Companies House registration is public, verified, and instantly recognizable to clients across the UK and Europe. For Indian founders serving UK/EU clients, running marketplaces, or building credibility with international partners, it's often a stronger fit than a US LLC.

The good news is that UK company formation is arguably simpler than US LLC formation — there's a single national registry (Companies House), and the whole process can be done online without ever setting foot in the UK. Here's the full process.

Step 1: Choose and Check Your Company Name

Your company name must be unique on the Companies House register, must end in "Limited" or "Ltd", and can't contain restricted or sensitive words (like "Royal" or "Bank") without special permission. You can check name availability directly on the Companies House website before filing.

Step 2: Get a UK Registered Office Address

Every UK LTD must have a registered office address in the UK — this is where Companies House and HMRC send official correspondence, and it appears on the public register. Since you're based in India, you'll use a commercial registered office service with mail forwarding, rather than a personal address.

Step 3: Appoint Directors and Shareholders

Unlike some jurisdictions, the UK has no residency requirement for directors or shareholders. A single Indian resident can be the sole director and 100% shareholder of a UK LTD. You'll need a UK "Person with Significant Control" (PSC) declaration, which is simply you disclosing your ownership stake — no UK presence required.

Step 4: File with Companies House

Registration is done through Companies House's online portal (or a formation agent filing on your behalf) using form IN01, along with your Memorandum of Association and Articles of Association. You'll need:

  • Company name and registered office address
  • Director and shareholder details (passport, address)
  • Share structure (e.g. 100 ordinary shares at £1 each)
  • SIC code describing your business activity

Step 5: Register for Corporation Tax with HMRC

Within 3 months of starting to trade, you must register your LTD for Corporation Tax with HMRC. This is separate from Companies House registration and gives your company a Unique Taxpayer Reference (UTR), which you'll need for annual tax filings.

Step 6: Open a UK Business Bank Account

Once incorporated, you can open a UK business account remotely through providers like Wise Business, Revolut Business, or Tide — all of which support non-resident directors and can be set up entirely online from India.
